Adams & Martin Group is seeking an experienced and highly skilled Business Law Transactional Attorney with 5 plus years of experience to join our growing team. The ideal candidate will have expertise in corporate and commercial transactions, mergers and acquisitions (M&A), financing, and contract law. This role requires a deep understanding of business law, the ability to negotiate and structure complex deals, and the skills to advise clients on a broad range of business transactions, from start-up formation to large-scale corporate deals.
Key Responsibilities:
Mergers & Acquisitions:
Lead and advise on mergers, acquisitions, joint ventures, asset purchases, and corporate restructuring transactions. Manage the due diligence process, draft and negotiate transaction documents, and provide legal counsel on structuring deals.
Corporate Governance:
Advise businesses on governance issues, including board structures, shareholder agreements, and compliance with state and federal laws. Assist clients in forming and maintaining corporations, partnerships, and limited liability companies (LLCs).
Commercial Contracts:
Draft, review, and negotiate a wide variety of business contracts, including supply agreements, licensing agreements, service contracts, non-disclosure agreements (NDAs), employment contracts, and more. Ensure that contracts comply with relevant laws and regulations and protect clients' business interests.
Business Financing & Capital Raising:
Assist clients with private equity financing, venture capital investments, debt financing, and other capital raising efforts. Advise on the structuring of financing arrangements and negotiate terms with investors, lenders, and other parties.
Regulatory Compliance:
Advise clients on regulatory and compliance matters related to business operations, including industry-specific regulations, antitrust laws, intellectual property laws, and employment law issues.
Dispute Resolution & Risk Management:
While primarily transactional, advise clients on risk management strategies and help resolve disputes related to business transactions, including breach of contract, IP issues, and shareholder disputes.
Client Relationship Management:
Build and maintain strong relationships with business clients, understanding their needs and providing proactive legal guidance as their trusted advisor. Stay abreast of changes in business law and its implications for client transactions.
Negotiation & Deal Structuring:
Represent clients in negotiations, ensuring optimal structuring and favorable terms for business transactions. Handle all aspects of the negotiation process and communicate effectively with opposing counsel, stakeholders, and third-party service providers.
