Position Description:
Our outstanding client is seeking an attorney with 3+ years of experience in corporate transactions from a top national or international firm.
Requirements:
JD from a top-tier law school.
Licensed to practice law in Colorado and lives in state.
3+ years of experience in a top national or international firm is highly preferred.
Excellent written and verbal communication skills.
Able to handle complex issues concisely and effectively with attorneys and clients; strong conflict resolution skills.
Well-organized and detail-oriented with an outstanding work ethic.
Ability to independently managing and prioritizing numerous projects under deadline pressure.
Comfortable taking direction from others on the legal team.
Strong interpersonal skills.
Responsibilities:
Review, edit, and draft contracts and documents for corporate transactions, including formations, equity financing, credit finance, and mergers and acquisitions.
Conduct due diligence, prepare disclosure schedules, and manage capitalization tables.
Advise on corporate governance matters, prepare board and stockholder consents, take minutes, and prepare certificates.
Participate in contract negotiations.
Collaborate with clients and subject matter experts to align corporate agreements with business objectives and compliance requirements.
Prepare correspondence, memorandum, and contract documentation to support contract execution.
Years of Experience: 3+ years of experience in a top national or international firm.
Compensation:
Competitive annual salary between $100,000 and $175,000, depending on experience.
